Litigation partner Stephen M. Sinaiko and associate Matan A. Koch's article "'Janus Capital' and Underwriter Liability Under Section 10(b) and Rule 10b-5" appeared in the Outside Counsel column of the July 12, 2011 issue of the New York Law Journal. In the article, Messrs. Sinaiko and Koch discuss the recent U.S. Supreme Court decision in Janus Capital Group Inc. v. First Derivative Traders, and its inconsistency with prior lower court decisions holding that underwriters may have primary liability, in federal securities fraud cases, for alleged misstatements in prospectuses and registration statements.
