On June 22, 2007, the transaction in which J-M Manufacturing acquired PW Eagle, Inc. for approximately $400 million (or $33.50 per share) in cash, closed. Kramer Levin represented the strategic committee of the board of directors of PW Eagle, Inc., which led the auction process. Kramer Levin also successfully handled the Hart-Scott-Rodino filing process (which included a "second request" by the Federal Trade Commission).

Tom Balliett, Mark Parise and Sidney Friedman handled the transaction. Bob Heller dealt with the antitrust issues, and Barry Herzog dealt with the tax issues.

PW Eagle makes pipes and fittings and operates 12 manufacturing facilities across the United States. J-M operates 14 manufacturing plants in the U.S., producing pipes for water, sewer, electrical conduits and other uses.
