New York, June 10, 2008- Kramer Levin Naftalis & Frankel LLP’s Corporate Department was honored with the “Law Firm of the Year” award by the nationally recognized publisher The M&A Advisor at last evening’s Annual Middle-Market Financing Awards Gala at The Drake Hotel in Chicago.  The firm was acknowledged for its diverse and complex portfolio of debt and equity financing deals within the middle-market.  Legal 500 and Chambers USA have also recently recognized the firm as a leader in this space.

“Being a mid-market focused firm with a healthy flow of corporate finance and M&A transactions has enabled the firm to represent its corporate clients in a wide variety of deals,” said Scott Rosenblum, Co-Chairman of Kramer Levin’s Corporate Department.  “The firm also has a very large client base of private investment funds who are making cutting edge, complex investments, including in distressed companies and joint ventures geared to accommodate current economic trends.”

With over 80 lawyers within its Corporate Department, the New York-based firm handles all types of transactions, both domestic and cross-border, for a variety of industries including apparel, telecommunications, shipping, software, and financial services, to name a few.  A sampling of some of the recent deals includes the representation of RiskMetrics Group in their ground-breaking IPO in January 2008, listed on the NYSE during a very tumultuous market; the acquisition by Rain Calcining Limited of CII Carbon, L.L.C. and related financing, a complex, cross-border and cross-cultural deal; and the representation of issuers/funds and underwriters in a number of alternative investment vehicles.

Additionally, in 2007, the firm was ranked in the top five law firms for PIPE transactions for number of placements advised on behalf of investors. The firm was also ranked in the top ten law firms for IPO total dollars advising underwriters in SPAC IPOs and in the top three for total number of SPAC IPOs advising underwriters.
