Kramer Levin Wins First Circuit Appeal Declaring Puerto Rico’s Restructuring Act Unconstitutional
Funds Talk: July 2015
As Chinese companies increasingly seek access to American markets, their need for sophisticated legal and financial counsel grows accordingly. Our China Practice group offers a full range of integrated services to Chinese clients in the U.S., including corporate, intellectual property, litigation, real estate, antitrust, and business immigration.
By drawing on the services of various Kramer Levin practice groups, we are able to fully support Chinese companies in establishing U.S. operations, from their inception to their entry into U.S. capital markets, and beyond. Of particular importance is the firm’s strong capital markets practice in public offerings and private placements, as well as in litigation. We regularly assist Chinese clients to raise funds directly from venture capital and private equity firms, and we represent both issuers and investment banks in capital markets transactions for foreign companies, including Chinese companies listing on American exchanges. Our experience includes IPOs and reverse mergers; follow-on offerings, registered direct offerings and PIPEs; and listings on NYSE, NYSE Amex, NASDAQ and OTCBB.
We serve our Chinese clients in other types of matters, as well. We work with them to create and evaluate IP portfolios and address other business-related IP issues. We help them with business integration issues. And when necessary, we represent them in complex lawsuits—we have successfully defended Chinese companies in antitrust litigation.
We have, in addition, broad experience in counseling U.S. companies transacting business in—and related to—China. We counsel these clients with respect to market entry strategies, structuring investments, operational matters, and exit strategies.
In addition to representation in the U.S., our China Practice group—together with our multi-disciplinary office in Paris and our associations with many other prominent law firms throughout the world—has the ability to offer comprehensive legal services to Chinese clients in Europe, the Middle East, and Asia.
