Cross Border Transactions

Kramer Levin Naftalis & Frankel LLP's corporate group handles a substantial number of international transactions. Our New York Office represents many foreign private issuers in a variety of private and public securities transactions in the United States, including initial public offerings, follow-on public offerings and public and private offerings of debt securities. Our group also handles the ongoing regulatory needs of our foreign private issuer clients. We have handled numerous mergers & acquisitions and investments in the United States by foreign acquirers. In addition, we represent many of our domestic clients in cross border transactions, including mergers & acquisitions, joint ventures, and licensing and development agreements with foreign counterparties. 

In addition to our New York Office’s capabilities, Kramer Levin’s Paris Office offers clients the benefits of a full-service legal practice based in Europe. Our lawyers in Paris regularly represent French and foreign financial institutions in domestic and Euromarket securities offerings and on international broker-dealer regulation. The Paris Office has served as lead counsel for various European issuers and underwriters in major securities offerings in the European and U.S. markets. We also advise European and U.S. financial institutions on various regulatory and transactional aspects of French financial law.

The firm also consistently cultivates associations with many other prominent law firms throughout the world. Additionally, we are actively engaged within a preferred network of firms from countries around the globe. With this panel of firms, we work with the highest caliber of lawyers of choice within each country when the needs of a particular matter arise. These non-exclusive arrangements involve representations of clients in a number of practice areas, including cross-border corporate and finance, mergers and acquisitions, intellectual property, joint ventures and other disciplines for which the associated firms and their lawyers are highly regarded.

We regularly advise clients on the organization of corporate entities in a variety of jurisdictions, ongoing corporate governance issues, and on internal and external financing options (venture capital, borrowings, debt and equity securities offerings, initial public offerings) under the laws of a variety of countries. We represent U.S. and foreign clients in the negotiation and drafting of various types of contracts as well as post-closing implementation issues that may arise. The Paris Office serves as counsel to credit enhancers and banks in securitization transactions across Europe. We have been instrumental in structuring and acting as counsel for management groups in major multinational buyouts and have handled acquisitions and corporate restructurings in more than ten European countries.
