    • Represented Stone Point Capital LLC in its acquisition, along with GreyLion Capital, of Hyphen Solutions, the leading provider of cloud-based residential construction management software.

    • Advised Stone Point Capital in the acquisition of Bullhorn, a global leader in software for staffing and recruitment.

    • Advised Mitchell | Genex in its acquisition of Coventry Workers’ Comp Services, a leading provider of cost containment technology, clinical service and disability management, from CVS Health.

    • Represented one of the largest supermarket chains in the United States in its $9.4 billion take-private sale to a private equity firm.

    • Represented a U.S. energy-focused private equity firm in several transactions, including its $17.5 billion acquisition of a leading U.S. power generator, its acquisition of several power generation facilities, its acquisition of a natural gas services business and its divestiture of a leading U.S. power generator for $3.45 billion.

    • Represented a U.S. energy-focused private equity fund in several transactions, including its $515 million sale of a natural gas-fired power plant located in Blythe, CA, and the sale of a gas-fired peaking facility in Carson City, MI.

    • Represented a leading middle-market private equity fund in several transactions, including its divestiture of a leading provider of paper packaging products to investment funds affiliated with a New York City-based private equity firm, and its divestiture of a leading provider of barrier protection and infection control products to an Australian public company for $615 million.

    • Represented Ballast Point Brewing & Spirits in its $1 billion sale to Constellation Brands.

    • Represented a New York City-based brand management company focused on apparel, athletics and entertainment brands in several transactions, including its acquisition of two companies that manage the assets and publicity rights of deceased celebrities, its acquisition of a provider of high-end ski and sports apparel, and its acquisitions of several other clothing brands.

    • Represented a private equity fund as lead shareholder in the sale of a banking technology provider to a U.S. public company for $1.15 billion.

    • Represented a leading middle-market private equity fund in its acquisition of a private U.S. company producing plastic bottles for the medical and cosmetics industries.

    • Represented Topcon Positioning Group in its acquisition of Digi-Star LLC, a developer and manufacturer of electronic agriculture products and software.

    • Represented a New York-based spirits importing and branding company in connection with its sale to a well-known German liquor company.

    • Represented a Swedish private equity firm in its divestiture of two U.S. operating subsidiaries to a South Carolina-based manufacturer of 3D printers.

    • Represented several bulge bracket and middle-market investment banking firms acting as financial advisors in numerous transactions.
