Gilbert Liu practices mainly in the area of securitization and structured finance. He represents issuers, underwriters, borrowers, lenders and service providers on private and public structured finance and securitization transactions involving a wide variety of asset classes. These include collateralized debt obligations, timeshare loans, commercial mortgage loans, home equity loans, residential mortgage loans, distressed assets, auto loans, government energy contract receivables, student loans, equipment leases, trademark and licensing rights, music royalties and municipal tax liens.

Mr. Liu has been recognized as a leading securitization attorney by Legal 500 US since 2007.

Mr. Liu also serves on the board of directors and executive committee of Harlem RBI, a non-profit organization providing social, academic and athletic services to over 800 boys and girls in East Harlem, New York. Additionally, Mr. Liu is involved in pro bono matters for the DREAM Charter School, Long Term Care Community Coalition, Chinese American Health Foundation and the CAIPA Foundation.

Representative Transactions

  • Representation of underwriters and issuers in numerous securitization transactions relating to timeshare loans originated by major lodging and timeshare companies.
  • Representation of collateral managers in CRE CDOs, high grade ABS CDOs, CLOs, synthetic CDOs and hybrid CDOs.
  • Representation of the largest nationwide provider of bulk CO2 equipment and distributor of beverage-grade CO2 in a unique whole-business term and revolving securitization transaction, the proceeds of which were used by a private equity fund in a going private transaction to fund a substantial portion of the acquisition price for the company. 
  • Representation of underwriters and originators in public and private offerings of commercial mortgage-backed securities offered in the U.S. and in Canada.
  • Representation of underwriters and placement agents in public and private residential mortgage loan and home equity loan securitization transactions. 
  • Representation of initial purchasers in the securitization of equipment leases and commercial loan contracts for a U.S. based equipment lease finance company. 
  • Representation of investors in transactions securitizing government receivables from federal energy savings performance contracts. 
  • Representation of underwriters in connection with auto-loan securitization transactions.
