Insurance and Reinsurance

Our lawyers represent insurance and reinsurance companies in all aspects of their business, as well as private equity firms, hedge funds, financial institutions, and other investors or sponsors of insurance businesses. Applying judgment, regulatory knowledge and industry experience honed over decades practicing in this area, we handle highly complex matters and craft customized solutions, whether we are structuring and negotiating transactions, advising on regulatory matters, or advocating for clients before regulatory bodies.

Our principal areas of focus include the following, across all lines of insurance business and both in and outside the U.S.:

  • Mergers and acquisitions, capital raising, and other corporate and financial transactions.
  • Reinsurance and alternative risk transfer, such as insurance-linked securities (ILS) and the use of captives.
  • Broker, agent and underwriting issues.
  • Restructuring, receivership and insolvency.
  • Risk and capital management.
  • Reserve financing.
  • Insurance company investments and portfolio solutions, including regulatory compliance.
  • Licensing, accreditation and certification of insurers and reinsurers.
  • Runoffs, portfolio transfers, commutations and other resolutions of legacy blocks.
  • New product structuring, drafting, marketing and regulatory approvals.

Our insurance and reinsurance team comprises seasoned transactional, reinsurance and regulatory lawyers as well as industry leaders. One of our partners is a former New Jersey banking and insurance commissioner who chaired NAIC’s Reinsurance Task Force and helped spearhead the modernization of the insurance and reinsurance regulatory framework. We work seamlessly with lawyers in our other transactional practice groups, including Securitization, Mergers and Acquisitions, Alternative Investment Management, Banking and Finance, and Derivatives and Structured Products, to deliver comprehensive cross-disciplinary advice.

Our strong and effective working relationships with regulators, combined with our practical and innovative mind-set, are among the reasons clients often ask us to step in when other law firms have failed to achieve desired results. It’s also why we get called on to handle novel situations, such as when we secured the first-ever state insurance regulatory approvals for a China-based private fund to acquire a U.S. insurance company.

Another important aspect of our practice is advising carriers and producers in underwriting representation and warranty and other transactional policies in the context of M&A matters. These transactions straddle multiple sectors and business profiles. Our deep familiarity with M&A markets, and also with the sensitivities and business issues associated with insurance underwriting, is a key asset we offer to our clients in this area.
