Mr. Bessonette practices primarily in the areas of general corporate and securities law, including distressed debt exchange offers, public and private offerings of equity and debt, mergers and acquisitions, private equity, venture capital and other transactions, as well as general 1934 Act reporting and corporate governance matters.
Mr. Bessonette represents hedge funds and other financial institutions in connection with various out of court restructuring matters, as well as privately held and publicly traded emerging growth and established companies, both domestic and foreign, in a wide variety of industries, including technology, real estate, industrial, financial services and fashion. He also represents underwriters in capital markets transactions and issuers and investment funds in various offerings and investment transactions. Mr. Bessonette also has substantial experience in general business matters such as the analysis of complex credit agreements, indentures and preferred equity securities, and the negotiation of consulting and employment contracts, partnership arrangements, manufacturing and service agreements and general corporate, licensing and executive compensation matters.
Recent matters include, among others, the representation of investors in various parts of the capital structure in connection with the restructurings of Orchard Brands, White Birch Paper Company, AbitibiBowater, Catalyst Paper Corporation and Energy XXI, each of which involved complex bank and high yield finance components, among other significant transactional aspects.
