James A. Grayer counsels and represents clients in connection with a comprehensive range of corporate matters, including mergers and acquisitions, securities and investment transactions, and general corporate and business issues. Mr. Grayer represents both public and private companies, as well as high-net-worth individuals, across a broad array of industries, including fashion and apparel, biotech, financial services, security services, consulting services and private equity.

Among his most recent work, Mr. Grayer represented the equity holders of Robert Graham Inc., a maker of men’s shirts and other apparel, in connection with a sale of the business to Tengram, a private equity group. He advised private equity fund Weld North LLC in a number of transactions, including its purchase of all the outstanding equity of TrueNorthLogic, a Utah private company, and Imagine Learning, both of which are in the e-learning space, and in its purchase of a controlling stake in Organic Avenue, a national juice and raw foods chain based in New York. Mr. Grayer also represented fashion designers Carol Lim and Humberto Leon in an investment by Berkshire Partners in their innovative brand Opening Ceremony.

A member of Kramer Levin’s pro bono committee, Mr. Grayer advises a variety of nonprofit organizations and foundations. He also oversees the firm’s professional development department.
