Ms. Rosensaft's practice focuses on corporate and financial transactions, with particular emphasis on mergers and acquisitions, private equity transactions and securities offerings. Representative matters include:

Private equity investments by Co-Investment Partners/Lexington Partners in domestic and international companies operating in industry sectors including financial, industrial, medical/health care, building and construction, energy, media/telecommunications, consumer/retail, travel and leisure, food services, information technology and publishing.

Strategic acquisitions and dispositions by Liz Claiborne, Inc. of brands including Kate Spade, Narciso Rodriquez, Ellen Tracy, Laundry, C&C California, Prana, Mac & Jac, Kensie and Enyce.

$234 million acquisition by Harbinger Capital Partners of Bally Total Fitness.

€350,000,000 Eurobond offering for Liz Claiborne, Inc.

$100 million high-yield bond offering for United Refining Company.

Investment grade bond offerings ranging from $1.5 billion to $1.0 billion for Bear Stearns.
Ms. Rosensaft also works closely with the firm's Bankruptcy Department in connection with bankruptcy matters, chapter 11 reorganizations and restructuring transactions. Representations include: the official creditors committees for General Motors and Smurfit-Stone, as well as bondholders, acquirors, potential acquirors and other creditors in the bankruptcies of Bally Total Fitness, Calpine and ASARCO.
