Jodi Rosensaft advises and represents clients on corporate and financial transactions, with particular emphasis on mergers and acquisitions, joint ventures, securities offerings and private equity investments. Ms. Rosensaft advises both public and private companies across a broad spectrum of industries, including branded consumer products, toys, fashion and apparel, pharmaceutical and health care, advanced media and digital technology, consulting and professional services, manufacturing and energy. Her work involves both domestic and cross-border transactions in North America, Europe and Asia. In addition to her transactional work, Ms. Rosensaft often serves the function of in-house counsel for clients, providing a comprehensive range of business, strategic and legal advice and direction in connection with corporate governance, employment and contracting issues, as well as debt financing, intellectual property matters and other general corporate and operational matters. Ms. Rosensaft also advises clients in the use of representations and warranties insurance in acquisitions, including counseling insurers on the underwriting of representation and warranties insurance policies in connection with acquisition transactions.
Ms. Rosensaft has substantial experience with and a comprehensive understanding of branded consumer products and the legal and business issues surrounding the interface between brands and consumers. As a member of Kramer Levin’s Fashion and Consumer Brands group, Ms. Rosensaft is regularly called upon to advise in respect of transactions involving substantial brand and intellectual property assets. She also works regularly with the Kramer Levin’s Intellectual Property group, representing clients in connection with corporate and transaction structuring, investment and financing transactions, and intellectual property portfolio management and strategy.
Among her most notable work, Ms. Rosensaft has represented Alex Brands, a leading maker of children’s toys and creative products, in connection with domestic and international acquisitions of several toy companies to build its global family of brands, including the acquisitions of toy brands such as POOF-Slinky, Alex Toys, Fundex Games, Buzz Bee Toys, Janod and Kaloo.
Ms. Rosensaft also has worked extensively with attorneys in the firm’s Corporate Restructuring and Bankruptcy group on complex bankruptcy matters, Chapter 11 reorganizations and restructuring transactions, including the representation of the Official Creditors Committees for General Motors and Smurfit-Stone, as well as the representation of bondholders, acquirers and potential acquirers, and other creditors in the bankruptcies of Bally Total Fitness, Calpine and ASARCO, among others.
In addition to her work on behalf of clients, Ms. Rosensaft leads several professional development training sessions for Corporate associates on topics including mergers and acquisitions, negotiating deals and closing corporate transactions.
New York SmartCEO Magazine’s 2015 CPA & ESQ Awards selected Ms. Rosensaft as a finalist in the ESQ Industry Practice category, and selected Kramer Levin as Law Firm of the Year based on Ms. Rosensaft’s work on a recent M&A transaction. Ms. Rosensaft was profiled in the magazine’s May/June issue.
