Kramer Levin attorneys Arthur Aufses, Alan Friedman, and Marjorie Sheldon wrote an article for the special "Litigation" section of the February 22, 2000 New York Law Journal

The article, entitled "Pleading Securities Fraud Against Outside Directors," assesses the impact of the Private Securities Litigation Reform Act on claims by securities class action plaintiffs against the outside directors of public companies. The article reviews the allegations that typically are asserted against outside directors, discusses the legal arguments that are available to defend against them, and then focuses on four such cases decided in the Southern District of New York within the past year.
