Kramer Levin represented India’s Rain Calcining Limited, which manufactures calcined petroleum coke, in its proposed acquisition of U.S.-based CII Carbon, L.L.C., for $595 million in cash. The combined entity would be the world's largest maker of calcined petroleum coke.

The transaction is expected to be completed this month.

The Kramer Levin team was led by Adam Karasik, Ernie Wechsler, Abbe Dienstag and Carol Archer. The other members of the corporate team were John Bessonette, Anna Krasnostein, Abraham Safdie and John Longobardo. Barry Herzog and Blake Rigel helped out on the tax side, and Jon Ziefert and Jason Shames took care of real estate issues. The other members of the team were Avram Cahn (employee benefits), Kevin Moss and Leslie Nguyen (intellectual property) and Kerri Folb (environmental).
