Private Equity/Venture Capital
Over the last decade, Kramer Levin Naftalis & Frankel LLP has leveraged the diverse and extensive skill and experience in its Corporate Department to build a broad practice representing financial and strategic investors and issuers/targets in venture capital and private equity transactions. We use a multi-disciplinary approach, working in conjunction with the firm’s tax, securities, intellectual property, benefits and other attorneys to provide our clients with expert advice on all aspects of venture capital and private equity transactions.
The firm’s attorneys in the venture capital/private equity practice are skilled business advisors who offer creative solutions to complex strategic, financial, legal and other issues faced by our clients. We have experience in all types of venture capital investments and private equity transactions, including angel rounds of financing, convertible debt and preferred stock investments, recapitalizations, leveraged buyouts, management buyouts and other change-in-control transactions. Our experience spans across many industries, from the media and entertainment worlds to high tech and biotech. Our lawyers are results-oriented and understand the process of fund formation, financing and investment and the ever-changing “market” standards by which investors assess new investments. We have extensive experience in the formation of U.S. and non-U.S. private equity funds, venture capital funds, hedge funds and special purpose vehicles. We regularly represent clients throughout all stages of the investment cycle.
Additionally, the firm brings significant resources and a wealth of experience in intellectual property matters. Kramer Levin’s Intellectual Property Department is one of the largest in New York City. Our IP attorneys have worked with numerous venture-backed and technology organizations, assisting with due diligence and ensuring protection of intellectual property rights as a company grows.
