Peter G. Smith provides counsel on the full gamut of corporate and securities law matters, including regularly advising on U.S. and international mergers and acquisitions, public and private debt and equity financings and restructurings, joint ventures and initial public offerings. Over the years his experience has ranged from structuring multi-billion dollar public tender offers and mergers to assisting investors, corporations and others in planning, financing and implementing leveraged buyouts and other acquisition programs, with a special focus on innovative strategies and structures. Mr. Smith also represents financial institutions, issuers and others in corporate restructuring and financing transactions, both public and private, and counsels public companies and their management on securities regulation and compliance matters. He has advised a number of private investment funds regarding formation and organizational matters as well as shareholder activism and other activities, and has been cited in Legal 500 for M&A and corporate and finance expertise.
In addition to speaking and writing on a variety of corporate and securities law subjects, Mr. Smith recently served as Secretary of The New York City Bar Association’s Task Force on The Lawyer’s Role in Corporate Governance, and as Chair of that Task Force’s Subcommittee on the Role of Outside Counsel.
