Mr. Gilden practices corporate and securities law, concentrating on corporate finance, merger and acquisition transactions and general corporate advice.
Mr. Gilden represents companies from initial funding, through venture financing rounds and their initial and follow-on public offerings. He counsels public companies on their disclosure obligations and their boards of directors regarding their fiduciary and other duties. Mr. Gilden also has extensive experience in representing technology and other clients in cross border financings and acquisitions. Mr. Gilden’s practice encompasses representation of a number of publicly traded companies based in Israel, as well as representation of investment banks that have led public offerings of companies based in Israel and other countries. He also represents placement agents in private placements of public company securities. Mr. Gilden has represented both domestic and foreign companies in the telecommunication equipment, IT and communications services, software, medical devices, advertising, public relations and marketing information service industries in merger and acquisition, joint venture and other strategic transactions.
Mr. Gilden recently represented Fundtech Ltd. in its cash merger with an affiliate of GTCR, a porminent private equity firm, under which the Fundtech shareholders received approximately $390 million in cash. He represented Alloy Inc., the entertainment company behind "Gossip Girls" and "Vampire Diaries", in its sale to a private equity group led by ZelnickMedia. He also led the Kramer Levin team in representing RiskMetrics Inc. in its $1.6 billion merger with MSCI, Inc. Mr. Gilden had previously advised RiskMetrics in its $245 million initial public offering and listing on the New York Stock Exchange. He counseled Israel-based Aladdin Knowledge Systems Ltd. in connection with its sale to private equity funds led by Vector Capital, having earlier represented Aladdin in its $40 million follow-on public offering. Mr. Gilden also handled follow-on offerings for Nasdaq-listed Ceragon Networks Ltd., an Israeli telecommunication equipment company, and Globecomm Systems Inc., a satellite communications solutions company.
Mr. Gilden was recognized as a leading lawyer by Chambers Global (2011-2012) and Legal 500 US 2010.
