Ms. Krouner has a diverse corporate practice with a focus on bankruptcy, chapter 11 reorganization and restructuring transactions.

As a member of Kramer Levin's Restructuring Group, Ms. Krouner's representations include the debtors in the bankruptcies of Bally Total Fitness, Ascendia, Malden Mills and Berry-Hill Galleries; bondholders, acquirers, potential acquirers and other major creditors in Calpine, Bally Total Fitness, Recycled Paper Greetings, Alpha Media and ASARCO; and the official creditors' committee for Smurfit-Stone. Ms. Krouner has also worked closely with the firm's Bankruptcy Department on several other sophisticated transactions and complex cases, providing expertise in corporate and securities law in order to help clients efficiently and effectively solve legal, structural and transactional issues.

In addition, Ms. Krouner has substantial experience in mergers and acquisitions, leveraged buyouts and venture capital investments, and has played a prominent role in representing issuers and investment banking firms in public and private debt and equity offerings. Representative matters include: 

  • $234 million acquisition by Harbinger Capital Partners of Bally Total Fitness 
  • $100 million high-yield bond offering for United Refining Company 
  • Investment grade bond offerings ranging from $1.5 billion to $1.0 billion for Bear Stearns 
  • $275 million convertible debenture and $200 million high-yield offerings for Scientific Games Corporation 
  • Private equity investments by Co-Investment Partners/Lexington Partners in domestic and international companies operating in various industries, including, entertainment, gaming, retail, technology and roofing.
  • $100 million convertible note offering for Casual Male Retail Group 
  • $23 million acquisition by Wear Me Apparel of Happy Kids
