• Scott S. Rosenblum counsels clients on corporate and securities law, corporate finance, mergers and acquisitions, and joint ventures. Scott advises public and private entities in a wide variety of transactions, including international and domestic mergers and acquisitions, leveraged buyouts, and debt and equity offerings, including initial public offerings and alternative public offerings, partnership arrangements, and venture transactions. His clients include both domestic and international entities (including those based in China, Israel and the United Kingdom), from startups and emerging companies to Fortune 500 companies, engaged in technology, investment banking, manufacturing and services, real estate, insurance, financial services, energy, and e-commerce.

    Among his notable transactions, Scott represented Fundtech Ltd. in its merger with F.T. Israeli Mergerco Ltd., an indirect, wholly owned subsidiary of US FT Parent Inc. and Answers.com, creators of the answer engine Answers.com, when it was acquired by AFCV Holdings LLC, a portfolio company of growth equity investor Summit Partners. He also represented Spectrum Group International Inc., a collectibles and precious metals trading company, in the spinoff of its unit A-Mark Precious Metals Inc., and Vishay Intertechnology Inc., a manufacturer of discrete semiconductors, in the spinoff of its unit Vishay Precision Group Inc. Both transactions resulted in the creation of two separate public companies.

    Scott counsels and assists companies and other entities in navigating business disputes among partners or major stockholders. Most recently, he was retained to provide counsel and to represent one of the two co-founders and co-CEOs of TransPerfect Global Inc., the multimillion-dollar global translation and business-services company, in connection with legal and business issues related to the contentious dissolution of the privately held company.

    Scott also advises management and boards of directors on corporate governance and disclosure matters, and currently serves as a director of and adviser to the boards of various public and private companies.

    In addition to his work on behalf of clients, Scott previously served as managing partner.
