• J. Michael Mayerfeld counsels clients in securities, business combination, corporate finance and technology-sharing transactions, including private and public mergers and acquisitions, private equity offerings, joint ventures, licensing, and outsourcing transactions. Michael provides a comprehensive range of corporate and business advice to clients in a broad array of industries, including professional services, financial services, pharmaceutical, telematics and insurance. Clients he represents regularly include Deloitte, Sirius XM, Siga Technologies, Euclid and American International Group.

    Among his most notable transactions, Michael represented Deloitte LLP in the acquisition of substantially all the assets of BearingPoint’s North American Public Services practice out of bankruptcy. He also represents Siga Technologies, in connection with a number of issues, including matters under the Securities and Exchange Act of 1933 and 1934, mergers and acquisitions, and general corporate and board advisory matters, including Sarbanes-Oxley compliance.

    Michael also regularly advises clients in the use of representations and warranties insurance in acquisitions, including, in particular, counseling insurers on the underwriting of representation and warranties insurance in acquisition transactions. This work gives him unique insight into the insurance market, as well as broad exposure to public and private merger and acquisition transactions. He has also advised clients in recapitalization of commercial real estate, including in connection with the related equity financings and intershareholder arrangements.

    Experience

    • Represented Deloitte LLP as it closed the acquisition of substantially all the assets of BearingPoint’s North American Public Services practice out of bankruptcy for total consideration of $350 million in cash, subject to adjustment, and the assumption of certain BearingPoint liabilities.

    • Represented First Investors Consolidated Corporation, an 80-year-old financial services company that provides a broad range of investment and life insurance products and services, in its acquisition by Foresters, a Canadian life insurance provider.

    • Represented Sirius XM as it significantly expanded its current satellite radio subscription business to include telematics services and products for Nissan automobiles.

    • Represented Sirius XM in connection with technology sharing and outsourcing arrangements with Agero in support of the acquisition of Agar’s Connected Vehicle Services Units.

    • Represented Deloitte in acquisitions of more than 30 professional services businesses.

    • Represented an advanced manufacturing process company in a technology licensing and service arrangement for a green technology process.

    • Represented a software development company in the medical records and analysis space in connection with licensing and outsourced services engagements in the fertility area.

    • Represented the principal stockholder of a private company in the translations industry in connection with complex stockholder arrangements and in the sale of the company.
