Our clients include several of the largest fund complexes in the United States. We are known for devising novel solutions to complex issues and utilizing innovative structures, techniques and strategies to optimize our clients’ success in the marketplace.
Our lawyers offer practical, proactive and creative counsel on fund formation, regulatory compliance, fiduciary obligations, governance and transactional matters for the full range of traditional and nontraditional hedge funds; mutual funds; closed-ended funds and private equity funds, including long-only, long-short and credit funds; business development companies (BDCs); emerging markets funds; interval funds; exchange traded funds (ETFs); alternative strategies funds; and environmental, social and governance funds (ESGs).
Kramer Levin is a market leader in serving public alternative funds and has worked closely with both alternative and traditional mutual fund managers in launching U.S. retail alternative platforms and serving their day-to-day regulatory needs. We have significant experience in adapting alternative strategies and instruments to the Investment Company Act of 1940 framework of retail mutual funds and interval funds. For independent boards and their members, we help define and clarify fiduciary obligations and provide sound and practical governance advice.
We have extensive experience in organizing and launching private investment funds, including private equity funds, venture capital funds, real estate funds, hedge funds, funds-of-funds and funds organized outside the United States. Our team helps non-U.S. fund managers raise capital in the U.S., advises on the tax and regulatory implications associated with establishing U.S. offices, and has represented U.S. and non-U.S. private fund managers in the global distribution of their funds. Further, we provide knowledgeable guidance on Securities and Exchange Commission (SEC), Financial Industry Regulatory Authority (FINRA) and Commodity Futures Trading Commission (CFTC) regulatory compliance issues and a broad array of transactional matters, as well as represent clients in civil litigation and in investigations and enforcement matters before the SEC and other regulators. We also help clients navigate regulatory impediments such as unnecessary registration. Collaborating with lawyers throughout our firm, we offer fund managers and other clients comprehensive legal advice regarding all aspects of their business, including tax, ERISA, employment, intellectual property, real estate and litigation matters.
Kramer Levin’s Paris office handles all legal aspects of the investment fund industry. Our lawyers provide French and international fund managers with the advice they need when seeking regulatory authorization and on any related regulatory matters, such as marketing rules. We also counsel clients on setting up innovative products, solutions or partnerships with new actors in the fintech industry. In this regard, our lawyers work regularly and closely with national regulators, including the French Treasury Department, the French Financial Markets Authority and the Financial Conduct Authority. In addition, we offer clients complete legal service in terms of fund structuring, particularly in relation to the structuring and drafting of the legal documentation for various types of funds, such as private equity funds, debt funds and real estate funds.
The team also assists limited partners, whether they are institutional investors, pension funds, family offices or corporations, in connection with their investments in alternative investment funds.
